Abstract

We take a critical perspective on corporate governance dialectic. We question the fundamental philosophical assumptions that underpin the current theoretical orthodoxy, the shareholder model, and its main challenger, the stakeholder model. We find that these models have flaws in their underlying epistemological base. We base our critique upon an approach founded in process thought philosophy and put forward an alternative agenda for the construction and development of governing corporations, based upon a processual approach.
